Before you can bring a branch of your out-of-state business to New York, you must apply for New York Foreign Certification. The state gives you permission to do business there by issuing a NYS Certificate of Authorization.

Section 206 of the New York Limited Liability Company Law requires a limited liability company (LLC) to publish in two newspapers, within 120 days after the effective date of the original articles of incorporation, a copy of the articles of incorporation or a notice of its formation LLC. Newspapers must be designated by the clerk of the county in which the LLC's office is located, as specified in the Articles of Incorporation. After publication, the printer or publisher of each newspaper will provide you with an affidavit of publication.
